HOME >> Sales Terms

This website is designed for distributor of vacuum electronic products and OEM who uses these products, resulted from VAC's business principle which intends to offer product and service to distributor and OEM only.

VAC delivers offer on request by distributor/OEM. Unless otherwise stated in written quotation, quoted prices are firm for 30 days from the date of written quotation; otherwise, prices are as in effect at the time of shipment.

Order from distributor/OEM shall be subject to acceptance by VAC and regarded as regular exportation business, minimum order requirement shall be over USD2,500.00 per shipment. Trade term is in compliance with relevant definition in ICC Incoterms 2000.

In order to keep quotation competitive and cooperation unsophisticated, also on account of VAC's clear and outstanding reputation in this line, prepayment in full is requested for parcel/courier/air shipment and prepayment of 30% of total contractual amount is requested for surface shipment(70% of total contractual amount must be paid clear for exchange of original shipping documents).

Ordered products will be packed for shipment in factory original packaging and shipped to appointed consignee or shipping forwarder by agreed terms and conditions at agreed time frame. VAC will not be liable for any delay in delivery or other performance which is due to unforeseen circumstances, or to causes beyond his control.

All shipped products must be given a through inspection upon receipt for intactness of the packaging, any external damage to the packaging and its consequent damage to inner products by rough handling during the transportation must be reported to VAC, destination shipping agent and insurance company's local agent for insurance claim purpose immediately. Any freight damaged product will not, under any circumstances, be considered for warranty replacement or credit. Products should be deemed accepted by distributor/OEM, except as to warranty claims, unless distributor/OEM notifies VAC in writing within 15 days after taking the delivery. Notwithstanding the above, any use of a product for any purpose after its receipt, shall constitute acceptance of the product.

All shipped products are warranted to be free from defects in workmanship and materials only for the period of the warranty. The warranties offered on these shipped products are those offered by VAC's relevant cooperating manufacturers only, and are expressly in lieu of and excludes all other expressed or implied warranties. In no event shall VAC be liable for incidental, consequential, or special damages, howsoever caused. The product in warranty claim must be returned back VAC in due time by due means for its manufacturer's further checking and analyzing. Each warranty adjustment can only be issued by the manufacturer who produced the product in warranty claim.

For vacuum electron tubes, the warranty involves both calendar time and (filament/heater) operation time. Specifically involved are: time since the product was shipped from VAC or time since delivery to the end-user or operation time (filament-on or heater-on). Whichever one lapses first concludes the warranty. A product which fails (because of faulty workmanship or materials, operated within its maximum ratings and not subjected to abuse or negligence in use, storage and/or handling) in the first 10% of the warranty-time hours will be replaced at no charge by VAC in due time by due means. If failure occurs in the remaining 10-100% of the warranty-time hours, a prorated adjustment will be calculated and credit of an equitable portion of the purchase price will be issued for next purchase. A prorated credit is to be calculated as follows:
           {Warranty (hours) – Use Time (hours)}/ Warranty (hours)*purchase price

Every product in warranty claim must be returned back VAC in time for manufacturer's warranty adjustment estimation. For the sake of saving back and forth transportation costs for these products to keep price competitive, VAC requests warranty tubes to be returned back together by Surface transportation within a certain period of time and warranty replacement shipment to be effected by Surface also. In order to avoid time elapsing for warranty claim when holding the warranty return shipment for better timing, VAC requests an immediate presentation of the completed copy of service report form when a tube fails. And warranty pre-adjustment might be issued by VAC, supposing that the failure was due to faulty workmanship or material. But such kind of warranty pre-adjustment isn't final and could be adjusted by the manufacturer(s) after their receiving, checking and analyzing the failed products. Only the manufacturer's warranty adjustment should be final and binding upon every party involved.

When warranty tube to be returned, it must be packed very carefully in the same way it was packaged to avoid damage in transportation. Its original shipping carton and packing materials should always be used for warranty return. Shipping damage because of poor packing will normally preclude any warranty adjustment since the damage will usually make any testing or measurement impossible. Parcel post should never be used for shipment of tubes.

All disputes arising from the execution of, or in connection with the order, shall be settled amicably through friendly negotiation. In case no settlement could be reached, the case shall then be submitted to China International Economic & Trade Arbitration Commission in accordance with its provisional rules of procedure. The arbitral award is final and binding upon every party involved.
